GET ABOARD INC. WEBSITE TERMS OF USE

These Terms of Use govern access to and use of the public-facing Aboard website located at getaboard.co and any public web pages that link to these Terms (collectively, the “Site”). These Terms do not govern access to Aboard’s subscription services made available to customers under a separate written agreement.

1. OVERVIEW

These Terms of Use form a legally binding agreement between Get Aboard Inc. (“Aboard,” “we,” “our,” or “us”) and any person or entity that accesses or uses the Site. 

These Terms govern only your access to and use of the Site. Access to Aboard’s subscription software and services is governed by separate written agreements, order forms, and related policies.

By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

These Terms should be read together with our Privacy Policy and any other policies or notices posted on the Site.

2. SERVICES AVAILABLE ON THE SITE

The Site provides general information about Aboard, our products, and our services. All content made available on the Site is for informational purposes only.

We may modify, update, or remove content on the Site at any time without notice. Nothing on the Site constitutes a binding offer to provide any products or services or a commitment regarding specific features, functionality, or availability, except as expressly set out in a separate written agreement.

3. USER SUBMISSIONS

The Site may allow you to submit information to us, including through contact forms, demo requests, job applications, surveys, or similar features (“Submissions”).

You represent and warrant that you have all necessary rights to provide any Submissions and that such Submissions do not violate any applicable law or the rights of any third party.

As between you and Aboard, you retain ownership of your Submissions. By providing Submissions through the Site, you grant Aboard a non-exclusive, worldwide, royalty-free license to use, host, store, reproduce, and otherwise process such Submissions solely as necessary to respond to your request, operate the Site, comply with applicable law, and as otherwise described in our Privacy Policy.

You should not submit through the Site any confidential, sensitive, or regulated information, including personal health information, unless expressly requested by Aboard and subject to appropriate protections.

4. INTELLECTUAL PROPERTY

The Site, including its design, text, graphics, logos, trademarks, service marks, software, and other content, is owned by or licensed to Aboard and is protected by intellectual property and other applicable laws.

Except for the limited right to access and use the Site in accordance with these Terms, no right, title, or interest in the Site or its content is granted to you.

5. SITE INTERACTIONS

Certain features of the Site may allow you to submit information, request demos, apply for employment, or otherwise interact with Aboard.

You agree to provide accurate, current, and complete information in connection with any such interactions and not to misrepresent your identity or affiliation.

Any information you submit through the Site will be handled in accordance with our Privacy Policy.

6. TERMINATION

We may suspend or terminate your access to the Site at any time if we reasonably believe you have violated these Terms, pose a security risk, infringe the rights of others, or could create liability for Aboard or others.

We may also modify, suspend, or discontinue all or any part of the Site at any time without notice and without liability.

7. DISCLAIMER AND LIMITATION OF LIABILITY

The Site is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Aboard does not warrant that the Site will be uninterrupted, error-free, secure, or free from harmful components.

To the fullest extent permitted by law, Aboard and its affiliates, officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, goodwill, data, or business opportunities, arising out of or related to your use of or inability to use the Site.

To the fullest extent permitted by law, Aboard’s total aggregate liability arising out of or relating to the Site or these Terms will not exceed one hundred U.S. dollars (US$100).

8. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Get Aboard Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable legal fees, arising out of or relating to your misuse of the Site, your violation of these Terms, or your violation of any rights of another person or entity.

9. SECURITY

You are responsible for maintaining the security of any information you submit through the Site and for using appropriate precautions when accessing the Site.

If you believe that your interaction with the Site has been compromised or that unauthorized activity has occurred, you should notify us promptly.

10. ACCEPTABLE USE

You may use the Site only in compliance with applicable laws and these Terms.

You agree not to:

  • use the Site in any unlawful, fraudulent, or harmful manner;
  • interfere with or disrupt the operation or security of the Site;
  • attempt to gain unauthorized access to the Site or any related systems or networks;
  • copy, scrape, frame, mirror, or otherwise exploit any part of the Site without Aboard’s prior written consent;
  • transmit any malicious code, viruses, or harmful content through the Site;
  • infringe or misappropriate the intellectual property or other rights of Aboard or any third party.

You represent that you have the authority to enter into these Terms and to use the Site in accordance with them.

11. AGE RESTRICTIONS

The Site is intended for business and professional use and is not directed to individuals under the age of 18. You must be at least 18 years old to access or use the Site.

12. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms and any dispute arising out of or relating to these Terms or the Site will be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Site shall be brought exclusively in the courts located in Ontario, Canada, and you consent to the personal jurisdiction of such courts.

13. GENERAL TERMS

a. CHANGES TO THESE TERMS

We may update these Terms from time to time by posting a revised version on the Site. The updated Terms will become effective upon posting unless otherwise stated. Your continued use of the Site after the effective date constitutes your acceptance of the updated Terms.

b. ASSIGNMENT

We may assign or transfer these Terms, in whole or in part, without restriction, including in connection with a merger, acquisition, corporate reorganization, or sale of assets. You may not assign or transfer these Terms without our prior written consent, and any attempted assignment without such consent will be void.

c. NO WAIVER

No waiver of any provision, right, or remedy under these Terms will be deemed a waiver of any other provision, right, or remedy, or of the same provision, right, or remedy on a future occasion.

d. NO AGENCY

The parties are independent contractors, and nothing in these Terms creates any partnership, joint venture, or agency relationship between you and Aboard.

e. SEVERABILITY

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

f. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any other policies or notices expressly incorporated by reference, constitute the entire agreement between you and Aboard regarding your use of the Site.

For clarity, any separate written agreement between you or your organization and Aboard will govern with respect to Aboard’s products and services, and will control in the event of any conflict with these Terms.
